Terms and Conditions for Members of The Peer Club

1. Introduction

  • 1.1. By accessing, using, or registering as a member of The Peer Club (hereinafter referred to as "the Club"), you agree to be bound by these Terms and Conditions (hereinafter referred to as "Terms"). These Terms govern your use of the Club, including all features, services, and content provided therein.
  • 1.2. The Club is operated by Event Strategies Limited (hereinafter referred to as "the Company"), a company registered under the laws of The Republic of Ireland with its registered address at Suite 10716, 5 Fitzwilliam Square, Dublin 2 | D02 R744.
  • 1.3. The Company reserves the right to modify, add, or remove any part of these Terms at any time, without prior notice. 2. Membership

  • 2.1. To become a member of the Club, you must be at least 18 years old and complete the registration process, providing accurate and up-to-date information.

  • 4.1. All content, including but not limited to, text, images, logos, graphics, and software, on the Club's website and associated services are the property of the Company or its licensors and are protected by copyright, trademark, and other intellectual property laws.
  • 4.2. Members may not copy, reproduce, distribute, or create derivative works from the Club's content without the prior written consent of the Company.

5. Liability

  • 5.1. The Company shall not be liable for any direct, indirect, incidental, or consequential damages, including but not limited to, loss of profits, data, or goodwill, arising out of or in connection with your use of, or inability to use, the Club or its services.

6. Indemnification

Members agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to, use of, or alleged use of the Club, your violation of these Terms, or your infringement of any intellectual property or other right of any person or entity.

  • 10.1. In the event of any dispute arising out of or in connection with these Terms, the parties shall first attempt to resolve the dispute amicably through negotiation.

If the dispute cannot be resolved through negotiation, the parties agree to submit the dispute to binding arbitration in accordance with the rules of a recognized arbitration body in the jurisdiction of the Company. The decision of the arbitrator(s) shall be final and binding on both parties.

  • 15.1. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision, and the Company's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

18. User-Generated Content

  • 18.1. The Club may provide features that allow members to submit, post, or share content, including but not limited to, text, images, videos, or other materials (collectively, "User-Generated Content").

By submitting User-Generated Content, members grant the Company a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User-Generated Content in connection with the Club and its services.
  • 18.3. Members represent and warrant that they own or have the necessary licenses, rights, and permissions to use and authorize the Company to use all intellectual property rights in the User-Generated Content and that the User-Generated Content does not infringe upon any third-party rights.
  • 18.4. The Company reserves the right, in its sole discretion, to remove or modify any User-Generated Content for any reason, including but not limited to, violation of these Terms, applicable laws, or if the Company believes that the User-Generated Content is harmful to the interests of the Club or its members.

19. Fees and Payment

  • 23.1. All meetings, communications, and interactions between members within the Club are to be treated as strictly private. Members agree not to disclose or share any information, including but not limited to, the content of meetings, personal opinions, and member contact details, obtained within the Club to any third party without approval from their fellow Club members.
  • 23.2. Members agree not to use any contact information or connections made within the Club for any commercial purposes, including but not limited to, canvassing, marketing, or sales, without the prior written consent of the relevant members.
  • 23.3. Any breach of confidentiality or unauthorized use of member contact information may result in the termination of membership and possible legal action, at the sole discretion of the Company.

24. No Partnership or Agency

  • 24.1. Nothing in these Terms shall be construed to create a partnership, joint venture, agency, or employment relationship between the Company and any member. Members are not authorized to enter into any agreements or make any commitments on behalf of the Company.

25. Limitation of Liability

  • 25.1. To the fullest extent permitted by law, in no event shall the Company or its affiliates, officers, directors, employees, or agents be liable to any member for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, or goodwill, arising from or related to the use of, or inability to use, the Club or its services, even if the Company has been advised of the possibility of such damages.
  • 25.2. The Company's total liability to any member for any claim arising out of or in connection with these Terms or the use of the Club or its services shall not exceed the amount of fees paid by the member during the twelve (12) months immediately preceding the event giving rise to the claim.
  • 25.3. The limitations of liability set forth in this section shall apply even if the essential purpose of any limited remedy in these Terms has been frustrated or has failed its essential purpose.

26. No Warranty

  • 26.1. The Club and its services are provided on an "as-is" and "as available" basis, without any warranties of any kind, either express or implied, including but not limited to, warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • 26.2. The Company does not warrant that the Club or its services will be uninterrupted, error-free, or free of viruses or other harmful components, nor does the Company warrant that any defects will be corrected or that the Club's content will be accurate, reliable, or complete.

27. Miscellaneous

  • 27.1. If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
  • 27.2. These Terms and the relationship between the members and the Company shall be governed by the laws of the jurisdiction in which the Company is registered, without regard to its conflict of law provisions.
  • 27.3. Any failure by the Company to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • 27.4. These Terms, together with the Club's Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between the members and the Company with respect to the Club and its services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the subject matter hereof.

  • 28.1. By registering as a member of the Club, you agree to abide by the Five Pillars of The Club as stated below:

  • 28.2. Failure to abide by the Five Pillars of Collegiality may result in the suspension or termination of your membership at the sole discretion of the Company.

29. Member Representation and Warranty

  • 29.1. By becoming a member of the Club, you represent and warrant that:
  1. You meet the eligibility requirements as set forth in Section 2.1 of these Terms.
  2. You will comply with all applicable laws, regulations, and these Terms in connection with your use of the Club and its services.
  3. You will provide true, accurate, and up-to-date information about yourself during the registration process and promptly update your information as necessary.
  • 29.2. If the Company believes that you have breached any of the above representations or warranties, the Company reserves the right to suspend or terminate your membership without notice.

30. Changes to the Club and Services

  • 30.1. The Company reserves the right to modify, suspend, or discontinue, temporarily or permanently, the Club or any of its services, with or without notice, at any time and for any reason. The Company shall not be liable to any member or third party for any modification, suspension, or discontinuation of the Club or its services.

31. Survival

  • 31.1. Any provisions of these Terms that, by their nature, should survive termination or expiration of these Terms, including but not limited to, Sections 4 (Intellectual Property), 5 (Liability), 6 (Indemnification), 22 (Confidentiality and Non-Disclosure), and 24 (Limitation of Liability), shall continue in full force and effect following the termination or expiration of these Terms.

32. Headings

  • 32.1. The section headings in these Terms are for convenience only and have no legal or contractual effect.

33. Language

  • 33.1. In the event that these Terms are translated into languages other than English, the English version shall prevail in the case of any inconsistencies or discrepancies between the translations.
